Choose your LLC name.

Georgia requires your LLC name to be distinguishable from other entity names already on record with the Secretary of State.

You can search existing Georgia business records before filing, but the state notes that the public business search itself is not a final name-availability determination.

You usually don't need to reserve the name first.
Georgia allows an optional name reservation, but it is not required before you form the LLC.

Choose your registered agent.

Your registered agent is the person or qualifying entity designated to receive official legal documents and government communications for the LLC.

Georgia requires the registered agent and registered office to be in Georgia. The registered office must be a physical street address where the agent can be located in person.

This is different from your principal office.
The registered office may be your place of business, but it doesn't have to be.

Gather what Georgia will ask you for.

Before opening the filing system, have the basic information ready so you aren't figuring it out halfway through the application.

File the LLC with the Georgia Secretary of State.

For most straightforward new Georgia LLCs, the easiest route is the Secretary of State's online filing system.

Choose “create or register a business,” indicate that you're creating a new domestic business, and select “Domestic Limited Liability Company.”

Georgia currently says ordinary online filings are generally processed in approximately seven business days. Faster processing is available for additional fees.

Save your approval documents.

Once the filing is approved, Georgia issues a Certificate of Organization for your LLC.

Save the certificate and your formation records somewhere you'll be able to find them later. Banks, lenders, vendors, accountants, and other organizations may ask for business documentation.

Forming the LLC with Georgia does not automatically take care of your Gwinnett County or city business requirements, taxes, industry licensing, insurance, or other setup.

Establish separate business finances and avoid treating your LLC account like a personal checking account.

Local Business License

Determine whether Gwinnett County or a municipality handles the local requirements for your business address.

Georgia Taxes

Depending on your activities, you may need accounts through the Georgia Tax Center for sales tax, withholding, or other taxes.

Industry Requirements

Some occupations and industries have additional state, local, zoning, health, or professional licensing requirements.

Georgia LLCs file an annual registration with the Secretary of State. Your first one is due between January 1 and April 1 of the year after the calendar year in which your LLC was formed.
